Official rules

The rules governing Acepyr's three promotions — the Referral Race, the Weekly Tournament, and the Mainnet Waitlist. No purchase necessary.

1. Sponsor

Acepyr's promotions are sponsored by Acepyr, Inc., a Delaware corporation with principal offices at 90 John Street #1807, New York, NY 10038-3202 (the "Sponsor"). Sponsor is solely responsible for their administration.

2. What these Rules cover

These Rules (the "Rules") govern three separate promotions (each a "Promotion"):

Sections 3, 4 and 8 through 18 apply to all three. Sections 5, 6 and 7 apply only to the Promotion each one names.

The feature pages linked above describe how each Promotion works in plain English. They are explanatory; these Rules are operative. Where a feature page and these Rules differ, these Rules govern.

Each Promotion is independent. Entering one does not enter you into another, and winning one does not affect your standing in another.

3. Eligibility

Each Promotion is open to Acepyr Platform users who, at the time of entry and at the time of any award:

  • Are at least 18 years of age;
  • Are legal residents of an eligible jurisdiction;
  • Have a valid Acepyr Platform account in good standing (not suspended, not flagged for fraud);
  • Are not located in any jurisdiction subject to US sanctions (OFAC SDN list, embargoed countries), and are not on the OFAC SDN list;
  • Are not located in a sanctioned sub-national region (including Crimea, Donetsk, and Luhansk); and
  • Are not employees, officers, directors, contractors, or immediate family members (spouses, parents, siblings, children) or household members of Sponsor or its affiliates, agencies, or representatives.

One account per natural person. Multi-accounting disqualifies every account involved (§10).

Void where prohibited by law.

4. No purchase necessary

You do not need to purchase anything, pay any fee, or provide any consideration to enter any Promotion. A free Acepyr Platform account is all that is required.

Testnet $ACEPYR cannot be purchased at any price, and no amount of money improves your position in any Promotion.

4.1 The Mainnet Waitlist minimum is not a payment

The Mainnet Waitlist requires that your own wallet holds at least a stated minimum (§7.2). You hold your own funds, in your own wallet, and you keep them. Nothing is bought, nothing is transferred to Sponsor, and no fee is charged. It is an identity check — the cheapest reliable way to make one wallet mean one person — and it is not consideration.

4.2 Alternative Method of Entry (AMOE)

Any eligible person who does not wish to engage with the Platform may enter the Referral Race or the Weekly Tournament by mailing a request to:

The mailed request must include: (a) full legal name; (b) mailing address; (c) date of birth; (d) email address; (e) Platform username, if any, or a statement that the entrant is entering via AMOE only; (f) the Promotion being entered; and (g) the text "I request entry to the Acepyr promotion named above."

What an AMOE entry is worth:

  • Referral Race — a valid AMOE entry is credited as one (1) qualified referral for the calendar month in which it is received, and is ranked alongside all other entrants under §5.3.
  • Weekly Tournament — a valid AMOE entry is treated as a valid player for the week in which it is received (§6.1).

Each eligible person may submit one (1) AMOE entry per Promotion per period — per calendar month for the Referral Race, per week for the Weekly Tournament. AMOE entries must be postmarked within the relevant period and received by Sponsor within seven (7) days after it ends. Mailed entries require no Platform activity, no wallet, and no purchase.

5. The Referral Race

5.1 Entry

Entry is automatic for eligible Platform users. Generate a referral code in-Platform and share it; entry occurs when a referred account qualifies under §5.2. AMOE entries enter per §4.2.

5.2 What makes a referral qualify

A referral is qualified when a new account that applied your referral code at signup has:

  1. Verified its email address;
  2. Linked a blockchain wallet; and
  3. Joined the Mainnet Waitlist (§7).

All three must occur within the same calendar month for that referral to count toward that month. Qualification is assessed once, at the moment it occurs, and is not reassessed afterwards — a referral already credited to you is not withdrawn if the referred account's circumstances later change.

Only new accounts count. A code applied after signup does not count.

5.3 Ranking and prizes

The total Referral Race prize pool is $1,000 USD per calendar month, paid in USD or USDC at Sponsor's sole option, distributed across the fifty (50) highest-ranked entrants for that month:

Entrants are ranked by number of qualified referrals for that calendar month, highest to lowest. This is a merit-based contest determined solely by measurable performance. It contains no element of chance — there is no draw, no lottery, and no random selection.

Ties are broken by (a) the earlier time at which the entrant reached that referral count, and (b) Sponsor's final determination, in that order.

5.4 Monthly reset

Referral codes and rankings reset at the start of each calendar month. Points do not carry forward.

5.5 Winner notification

Winners are notified via the email address on file within seven (7) days of the month's end. Winners have fourteen (14) days from notification to respond with the documentation required by §8. Failure to respond within fourteen (14) days forfeits the prize, and Sponsor may award it to the next-ranked entrant.

5.6 Modification

Sponsor may modify or discontinue the Referral Race prospectively on notice. Changes do not affect a calendar month already in progress.

6. The Weekly Tournament

6.1 Entry and validity

Entry is free and individual. There is no fee, no ticket, no partner requirement, and no minimum wallet balance. You become a valid player for a week by taking at least one position during that week. Weeks run on a fixed UTC schedule and settle after the week closes. AMOE entries enter per §4.2.

6.2 The testnet $ACEPYR pool is not a prize

A fixed pool of testnet $ACEPYR is shared among valid players each week, divided pro-rata by settled trading volume across that week. It is not an equal split.

Testnet $ACEPYR is not a prize. It is a record-keeping mechanism described in the Testnet points notice, it carries no economic value, and it is not paid in money. Nothing in this §6.2 is an award of anything of value.

6.3 Cash prizes have not commenced

No cash prize is currently offered or awarded for the Weekly Tournament.

Sponsor intends to introduce one. The pool amount, the split, the number of winners, the selection mechanism — including whether any part of it involves chance — and the commencement date will be published in this §6.3 and on the feature page before the first paid week runs. Until that publication, nothing on the Platform constitutes an offer of a weekly cash prize, and no entrant accrues any claim to one.

7. The Mainnet Waitlist

7.1 What a waitlist position is, and is not

A waitlist position is a record of the order in which people joined. It is assigned at admission and never moves afterwards.

A position is not a token, not an allocation of any token, not a right or option to buy anything, not transferable, and not a promise that mainnet will launch or launch on any timeline.

7.2 Joining

To join, you must:

  1. Prove control of a wallet — by signing in with it or signing a message with it. A pasted address without that proof does not qualify. One wallet, one person.
  2. Hold at least the current minimum in that wallet, measured across the networks Sponsor reads. Native coins and major stablecoins are counted; other tokens may be valued at zero.

The minimum is a current figure, not a fixed term. Sponsor may adjust it without notice. The figure displayed in-Platform is authoritative. Per §4.1, this is a holding requirement and not a payment.

An application below the minimum is held, not refused, and may be re-checked later at no cost.

7.3 The launch award

The first ten thousand (10,000) people who have joined the waitlist and who still qualify at the time mainnet launches will receive US$5 each, paid in USD or USDC at Sponsor's sole option.

This award is:

  • Discretionary, and not an entitlement;
  • Conditional on mainnet actually launching — if mainnet does not launch, no award is made and none is owed;
  • Conditional on still qualifying at launch, as measured under §7.4; and
  • Not consideration for anything, not a return on testnet $ACEPYR, and not a securities distribution.

Sponsor may modify or withdraw this award prospectively on notice.

7.4 Balance checks

Whether a wallet holds the minimum "continuously" cannot be observed; it can only be sampled. Sponsor therefore takes multiple readings at unannounced times and applies a pass-rate threshold — you must be above the minimum at most readings, not every reading.

  • Sponsor does not publish the schedule of readings, and will not do so on request. Publishing it would permit funding a wallet immediately before a known reading and withdrawing immediately after, which is the conduct unannounced sampling exists to prevent.
  • A reading Sponsor cannot complete is discarded, and is never recorded as a failure. An outage on Sponsor's side is not counted against you.

Your waitlist position is permanent and is never re-measured. Only the §7.3 award depends on continuing to qualify. Falling below the minimum does not remove your place in line.

8. Prizes: acceptance, tax and delivery

8.1 Required documentation

Winners of a cash prize must furnish the following within fourteen (14) days of notification:

  • US persons: a valid IRS Form W-9.
  • Non-US persons: a valid IRS Form W-8BEN (individuals) or W-8BEN-E (entities).
  • A mailing address or wallet address for delivery.
  • An affidavit of eligibility confirming compliance with these Rules (Sponsor provides the template).

8.2 Prizes are structured under $500 per award

Individual prizes are intentionally structured below $500 to minimize tax-reporting complexity for an international participant base. This does not affect any total pool or the competitive integrity of any Promotion.

8.3 Tax reporting

No single prize under these Rules reaches the US IRS Form 1099-MISC reporting threshold of $600 per recipient per calendar year.

⚠️ That threshold is cumulative. A recipient who wins across multiple months, or across more than one Promotion, may exceed $600 in a calendar year. Once a recipient reaches $600 in aggregate: US persons must furnish a valid W-9 and Sponsor will issue Form 1099-MISC Box 3; non-US persons must furnish Form W-8BEN and Sponsor will apply applicable withholding (30% default for non-treaty countries; a reduced rate where a treaty applies).

Winners are solely responsible for all applicable taxes in their own jurisdiction. Sponsor does not provide tax advice; consult a qualified tax professional.

8.4 Non-transferable

Prizes are awarded only to the eligible winning entrant and may not be assigned, transferred, substituted, or redeemed (except where the prize itself is cash or USDC). Sponsor may substitute a prize of equal or greater value at its sole discretion.

8.5 Delivery

USDC prizes are delivered to the winner's provided Base-compatible wallet address within thirty (30) days of Sponsor's receipt of completed documentation. USD prizes are delivered by check or ACH within thirty (30) days of the same.

8.6 Unclaimed prizes

Unclaimed or forfeited prizes are awarded to the next-ranked eligible entrant, or retained by Sponsor, at Sponsor's sole discretion.

9. Publicity

By entering any Promotion and accepting a prize, you grant Sponsor a non-exclusive, royalty-free, worldwide license to use your Platform username, avatar, performance metrics, and public-facing score in Sponsor's marketing materials, community communications, and investor materials. Sponsor will not use your real name, address, photograph, or any non-public personal information without your separate written consent.

10. Conduct and disqualification

Sponsor may disqualify any entrant, at its sole discretion, for:

  • Fraud, misrepresentation, or providing false information.
  • Multi-accounting or account-sharing (one account per natural person; see the Terms of service §3.4).
  • Self-referral, or referrals of accounts the entrant controls.
  • Use of bots, scripts, scrapers, or any automated means.
  • Exploitation of bugs, race conditions, or economic inconsistencies.
  • Collusion with other entrants.
  • Violation of the Terms of Service, the Privacy Policy, or these Rules.
  • Any conduct that undermines the integrity of a Promotion.

Disqualified entrants forfeit any placement, prize, and waitlist position, and may have their Platform account suspended or terminated. Sponsor's determination is final.

11. Disputes and scoring challenges

Disputes about ranking, qualification, or scoring must be submitted in writing to [email protected] within seven (7) days of the relevant result being announced. Disputes submitted after that period will not be considered. Sponsor's determination on any such dispute is final and binding.

Any other dispute arising from or related to a Promotion is subject to the dispute resolution provisions of the Terms of service §13 (informal resolution, binding arbitration, class-action waiver).

12. Modification and cancellation

Sponsor reserves the right to modify these Rules, adjust the mechanics of any Promotion, extend or shorten any period, or cancel any Promotion in the event of technical failure, suspected fraud, force majeure, or circumstances outside Sponsor's reasonable control.

In the event of cancellation, Sponsor will use commercially reasonable efforts to issue pro-rata equivalent prizes based on participation at the time of cancellation, or to run a replacement Promotion. No entrant-paid consideration exists to refund, because none is required to enter.

13. Limitation of liability

By entering, you release Sponsor, its officers, directors, employees, agents, and affiliates from any liability for injury, loss, or damage of any kind arising from participation in a Promotion or receipt of a prize, except as otherwise required by applicable law. Without limiting the foregoing, Sponsor is not liable for:

  • Technical failures of the Platform or third-party infrastructure;
  • Lost, late, misdirected, incomplete, illegible, or undeliverable entries, notifications, or prize deliveries;
  • Human error or any cause beyond Sponsor's reasonable control;
  • Any injury, death, or damage to persons or property caused, directly or indirectly, by participation in a Promotion or receipt of a prize.

14. Privacy

Information collected from entrants is subject to the Privacy policy. Promotion-specific data — entry details, referral records, performance metrics, wallet balance readings, prize records, and tax documentation for winners — is collected and used for administration, prize issuance, tax reporting, and record-keeping as required by law.

15. Winner lists

A list of Referral Race winners is published in-Platform within thirty (30) days after the end of each calendar month. A copy may be requested by mail to Sponsor at the address in §1 with a self-addressed stamped envelope, for six (6) months after the relevant month's end.

16. Governing law

These Rules are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to §11, any dispute is subject to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, administered in Delaware.

17. Severability

If any provision of these Rules is found unenforceable, the remaining provisions remain in full force.
