1. Acceptance

1.1 These Testnet Terms of Service ("Terms") govern your access to and use of the Acepyr platform (the "Platform") during its testnet phase. The Platform is operated by Acepyr, Inc., a Delaware corporation with principal offices at 90 John Street #1807, New York, NY 10038-3202 ("Acepyr," "we," "us," "our").

1.2 By creating an account or accessing the Platform, you ("User," "you") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

1.3 Modifications. We may update these Terms. Material changes will be notified via email and/or in-Platform notice at least fifteen (15) days before taking effect. Continued use after the effective date constitutes acceptance. We will never modify a published version in place; each revision is issued as a new version with its own effective date and consent record.

1.4 Eligibility. You must be 18 years of age or older to use the Platform.

2. The Testnet: what this is

2.1 The Platform is in testnet: a pre-production environment operated for testing, hardening, and improving Acepyr's infrastructure before mainnet launch. Features may change, break, or be removed without notice.

2.2 Provided "AS IS." The Platform, the $ACEPYR testnet token, and all features are provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.

2.3 Data loss. Testnet balances, positions, and history may be reset, corrected, or lost. We use reasonable efforts to preserve records but make no guarantee.

2.4 Testnet $ACEPYR: no value

This section is the most important in these Terms.

• Testnet $ACEPYR is a representative unit, a symbolic point system. It exists to let you use and test the Platform.
• It has no economic value. It is not a cryptocurrency of any value, not a security, not currency, not a commodity, and not a financial instrument. It exists as a token on a public test network only (§6.4), which gives it no monetary value and makes it none of those things. It confers no ownership, no equity, no revenue share, no dividend, no claim on Acepyr's assets or profits, and no entitlement of any kind.
• It cannot be purchased. There is no way to buy testnet $ACEPYR from Acepyr, and we will never sell it to you.
• It cannot be exchanged for anything of value. It cannot be exchanged for money, cryptocurrency of value, goods, or services. Redeeming it to your own wallet (§6.6) moves the same valueless test-network token to an address you control; that is not an exchange, and it delivers nothing of value.
• It may never have any value. Nothing in these Terms, on the Platform, or in any Acepyr communication should be read as a promise that it will.

2.5 Mainnet conversion: not guaranteed

Acepyr intends, on a good-faith basis, to bridge testnet contributions to a mainnet $ACEPYR token at mainnet launch. You must understand the following before relying on that intention in any way:

• Mainnet conversion is not guaranteed at any ratio. The conversion ratio, eligibility criteria, timing, and mechanics are subject to governance decisions, legal counsel review, and technical constraints.
• Acepyr makes no promise of any specific conversion outcome and reserves the right to modify or cancel the conversion plan entirely prior to mainnet launch.
• No ratio has been set. Any figure you may see discussed anywhere is illustrative and non-binding.
• A mainnet token may never exist. Mainnet launch is an intention, not a commitment.
• Any future mainnet token would be a separate instrument governed by its own terms and its own legal analysis. Nothing here offers, or is a solicitation to acquire, any such instrument.

Do not acquire, hold, or use testnet $ACEPYR in the expectation of future value. If you are participating because you expect a future payout, you have misunderstood this product and should not use it.

3. Access and eligibility

3.1 Account. You must register with an accurate email address, keep your credentials secure, and are responsible for activity under your account. One account per person.

3.2 Jurisdictional restrictions

The Platform is open to international users, subject to the exclusions below. You may not access the Platform if you are located in, or a resident of:

• Cuba, Iran, North Korea, or Syria, or any other country or territory subject to comprehensive United States OFAC sanctions or embargo. We enforce this by IP geofence and reserve the right to terminate any account we determine is accessing the Platform from a sanctioned jurisdiction.
• Any jurisdiction where your use of the Platform would otherwise be unlawful.

Sanctions attestation. You represent that you are not a person listed on the OFAC Specially Designated Nationals (SDN) list, and that you are not located in a sanctioned region, including sub-national regions (such as Crimea, Donetsk, and Luhansk) that IP-based geofencing cannot reliably detect. You are responsible for the accuracy of this representation.

Feature-level restrictions. Certain features may be restricted in certain US states. Where a restriction applies, it is enforced at the feature, not at Platform access. Tournament eligibility is governed separately by the Official rules.

3.3 Prohibited conduct. You may not: create multiple accounts; circumvent geofences, feature restrictions, or account limits; use bots, scripts, or automation to interact with the Platform except where explicitly permitted; manipulate markets or scoring; sell, buy, or trade testnet $ACEPYR with any third party (moving it between your own platform balance and your own linked wallet under §§6.5–6.6 is not third-party trading); reverse-engineer the Platform; scrape it; upload malware; harass other users; or use the Platform for any unlawful purpose.

3.4 Termination. We may suspend or terminate your access at any time, with or without cause, with or without notice. You may close your account at any time. §§2.4, 5, 8, 9, 11–15 survive termination.

4. Markets, predictions, and the Platform economy

4.1 The Platform includes prediction and forecasting markets ("Markets") in which you may take positions using testnet $ACEPYR, which has no value (§2.4).

4.2 Not gambling; not a financial product. Because testnet $ACEPYR has no economic value, cannot be purchased, and cannot be exchanged for anything of value, Platform activity during testnet involves no wager of anything of value and is not gambling, betting, a derivative, a swap, an event contract, or a security. Nothing on the Platform is financial, investment, legal, or tax advice.

4.3 No purchase. There is no mechanism to purchase testnet $ACEPYR, position, advantage, or outcome. Testnet $ACEPYR is earned through participation; depositing it from your own linked wallet (§6.5) moves testnet $ACEPYR you already hold onto the Platform and buys nothing.

4.4 Tournaments. Acepyr may run tournaments with prizes of real value. Those are governed by the Official rules. Tournament prizes are discretionary awards: not an entitlement, not compensation, and not a return on testnet $ACEPYR.

4.5 Tournament tax documentation. Under the standard prize structure (no individual prize exceeds $500), no tax documentation is required. If a tournament instance awards $600 or more to any individual, US persons must furnish a valid Form W-9 and non-US persons a Form W-8BEN / W-8BEN-E before disbursement. No tax documentation is ever required for earning or holding testnet points.

5. Your content and your data

5.1 Your content. You retain ownership of content you submit. You grant Acepyr a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display it solely to operate and improve the Platform.

5.2 Behavioral data. The Platform records how you use it: predictions, timing, sequences, and the trait scores computed from them. This data is used by Acepyr, for Acepyr's own product, research, and operations. It is not sold, licensed, or shared with third parties for their own purposes. See the Privacy Policy.

5.3 Feedback. If you send us feedback, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use it without obligation to you.

6. Wallets

6.1 Linking a blockchain wallet is optional. Your platform balance of testnet $ACEPYR is recorded on the Platform whether or not you link one; a linked wallet is what makes the deposit and redemption routes in §§6.5–6.6 available to you. Without a linked wallet your balance works normally, never expires, and is never forfeited.

6.2 You are solely responsible for your wallet and its private keys. We cannot recover them. We never ask for, and will never ask for, your seed phrase or private key.

6.3 Your wallet address is used only by Acepyr, to operate the Platform. It is not sold, licensed, or disclosed to third parties for their own purposes. See Wallet Consent.

6.4 Where testnet $ACEPYR lives. Your platform balance is the only spendable amount, and it is recorded and settled in Acepyr's own database. Markets, positions, fills, and settlement are Platform operations: a trade is not a blockchain transaction and creates no tokens. Testnet $ACEPYR also exists as an ERC-20 token on Base Sepolia (chain ID 84532), a public test network, at contract address 0xFA9D3ad93D1086008F9E548478bd0b87aCbBdD74. On-chain those tokens are held in a single custodial distributor wallet as one pooled total for all users: there is no per-user on-chain balance, and Acepyr's ledger is the record of whose is whose. Nothing is deployed to Base mainnet. Base Sepolia is a test network — the token on it has no monetary value (§2.4), and neither does the test ETH used to pay fees on it.

6.5 Deposits. With a linked wallet you may send testnet $ACEPYR from that wallet to Acepyr's distributor address; once the transfer is verified on-chain, the amount credits to your platform balance. The transfer is your own transaction: you submit it, and you pay the network fee in Base Sepolia test ETH.

6.6 Redemption. With a linked wallet you may redeem testnet $ACEPYR from your platform balance to that wallet on Base Sepolia; Acepyr sends it from the distributor and pays the network fee. Redemption is limited to one redemption per 24 hours and is subject to a minimum amount, each of which we may change. Redemption moves the same valueless test-network token to an address you control; it is not an exchange for money, cryptocurrency of value, goods, or services, and it delivers nothing of value (§2.4).

7. Intellectual property

The Platform, its software, design, trait models, scoring methodology, and all content (excluding your content) are owned by Acepyr and protected by intellectual property law. §7 grants you a limited, revocable, non-transferable license to use the Platform for personal, non-commercial purposes.

8. Third-party services

The Platform integrates third-party services (including Discord and X). Your use of those is governed by their terms. We are not responsible for them. Vendors that process personal data on our behalf are listed in Privacy Policy §11.

9. Disclaimers

9.1 THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

9.2 WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

9.3 NO ADVICE OR INFORMATION OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED HERE.

9.4 WE MAKE NO REPRESENTATION THAT TESTNET $ACEPYR WILL EVER HAVE VALUE, CONVERT TO ANY MAINNET TOKEN, OR CONVERT AT ANY PARTICULAR RATIO.

10. Limitation of liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACEPYR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

10.2 OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

10.3 Testnet $ACEPYR has no value (§2.4). No claim may be founded on the loss, reset, or non-conversion of a testnet balance.

10.4 Some jurisdictions do not allow certain limitations; in those, our liability is limited to the greatest extent permitted.

11. Indemnification

You agree to indemnify and hold harmless Acepyr, its officers, directors, employees, and agents from any claim, demand, loss, or damage (including reasonable attorneys' fees) arising out of your use of the Platform, your content, your violation of these Terms, or your violation of any law or third-party right.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Subject to §13, the state and federal courts located in Delaware have exclusive jurisdiction.

13. Dispute resolution: arbitration and class waiver

13.1 Informal resolution first. Before filing, you agree to try to resolve the dispute informally by emailing [email protected] with a description of the dispute and the relief sought. If unresolved after 60 days, either party may proceed.

13.2 Binding arbitration. Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, seated in Delaware or conducted remotely at your election. Judgment on the award may be entered in any court of competent jurisdiction.

13.3 CLASS ACTION WAIVER. YOU AND ACEPYR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

13.4 Exceptions. Either party may bring an individual claim in small-claims court, or seek injunctive relief for intellectual-property infringement or unauthorized access, in court.

13.5 Your right to opt out. You may opt out of §§13.2–13.3 by emailing [email protected] within 30 days of first accepting these Terms, stating your name, account email, and an unambiguous intent to opt out of arbitration. Opting out does not affect any other part of these Terms and will not affect your access.

13.6 If §13.3 is found unenforceable, the entirety of §13 is null and §12 governs.

14. Privacy and data protection

14.1 Our collection and use of personal information is described in the Privacy Policy.

14.2 Applicable law. The Platform is offered internationally (§3.2). Where GDPR, UK data protection law, CCPA/CPRA, or other data protection law applies to you, you have the rights described in Privacy Policy §9, and we honor them.

14.3 We do not sell or share personal information, and we do not license it to third parties for their own purposes.

15. General

15.1 Entire agreement. These Terms and the documents incorporated by reference are the entire agreement between you and Acepyr regarding the Platform.

15.2 Severability. If any provision is unenforceable, the rest remain in effect.

15.3 No waiver. Failure to enforce a provision is not a waiver.

15.4 Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

15.5 Force majeure. Neither party is liable for delay or failure due to causes beyond reasonable control.
